Terms of Service

1. Who you are contracting with

These Terms of Service ("Terms") are between you and Shmaya Schwartz("we", "us", "our"), operating the Q Home Sales platform (the "Service"). By creating an account or using the Service, you agree to these Terms.

2. The Service

The Service helps real estate agents draft, sign, and send Offers to Purchase and related documents. The Service does not constitute legal advice; you remain responsible for the accuracy and legal sufficiency of any document you produce.

3. Account and eligibility

You must be of legal age and have authority to enter these Terms. You are responsible for keeping your credentials confidential and for all activity under your account. You must provide accurate information and keep it up to date.

4. Acceptable use

You will not, and will not allow others to:

• Use the Service unlawfully, fraudulently, or to send spam.
• Infringe intellectual property or privacy rights of others.
• Probe, scan, scrape, reverse engineer, or otherwise interfere with the Service or its security.
• Resell, sublicense, or redistribute the Service.
• Upload malware or attempt to circumvent technical limits.

5. Intellectual property

We retain all rights, title, and interest in the Service, including software, templates, documentation, and branding. You are granted a limited, non-exclusive, non-transferable right to use the Service within your selected plan. You retain ownership of the content you upload; you grant us a limited licence to host and process it solely to provide the Service.

6. Payment, subscriptions, and refunds

Subscriptions are billed in advance on a recurring basis (monthly or yearly) and renew automatically until cancelled. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms at paddle.com/legal/checkout-buyer-terms. See also our Refund Policy.

7. Service availability

We strive to keep the Service available but do not guarantee uninterrupted or error-free operation. Maintenance, updates, and incidents may cause downtime.

8. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Documents produced through the Service are not legal advice.

9. Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to these Terms is limited to the fees you paid in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded by law.

10. Indemnity

You agree to indemnify and hold us harmless from claims arising out of your content, your use of the Service, or your breach of these Terms.

11. Suspension and termination

We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using the Service at any time by cancelling your subscription. On termination, your right to use the Service ends; we may delete your data after a reasonable export window.

12. Changes

We may update these Terms. Material changes will be communicated through the Service.

13. Governing law

These Terms are governed by the laws of the State of New York, USA, without regard to its conflict of law principles. Disputes will be resolved in the state or federal courts located in New York.
